How to Dissolve a UK Company: A Personal Guide
In early 2024, xiaoz shared About Registering a UK Company. At first, I was full of expectations, thinking I could do something in the overseas market. I tried some promotion, but after more than a year, there was no progress. Finally, I had to dissolve the company, which completed the loop.

Why Dissolve a UK Company
Below are the reasons I personally decided to dissolve my UK company.
- Currently, overseas business has not been successfully launched
- Annual UK company address fees need to be paid
- Annual ICO compliance fee: https://blog.xiaoz.org/archives/21708
- Annual report submission required: https://blog.xiaoz.org/archives/21796
- Annual company accounts submission required: https://blog.xiaoz.org/archives/21961
- Annual tax filing required, reportedly manual filing will no longer be supported later, must use software automation
In one sentence, the reason is that overseas business has not been successfully launched, and I still face a bunch of cumbersome processes and maintenance fees. Maintenance fees are rising, and I did not fully understand certain policy details. To save costs and reduce risks, I finally chose to voluntarily dissolve.
Operations Before Dissolution
- Complete company annual report
- Submit company accounts

Follow the prompts to log in and complete the dissolution. The entire dissolution process is not complicated, and the dissolution fee is 33 pounds.

After submitting the dissolution application, you will receive an email within 2 working days informing you whether the application is accepted or rejected. Companies with generally no business will be accepted.

After acceptance, you will be notified by email: The process of closing the company has now begun. Two months after the closure notice is published in the relevant gazette, the company will be removed from the register.

That is to say, you have to wait 2 months before the company is officially dissolved.
Confirm Dissolution Status
Currently, xiaoz's UK company has been successfully dissolved. The actual time consumed was about 3 months, and the query status is Dissolved, meaning the dissolution is complete.

Conclusion
This trouble from registering to dissolving the UK company was a lesson bought with money. The overseas market is not as simple as imagined. Just various annual fees and tax filing made people's heads spin. The business was not done, and thousands were paid annually for nothing, which is really not cost-effective. Cutting losses in time is good, at least the process is clear, and if I do overseas companies again in the future, these pitfalls can be avoided.
